YOUR VEGAS SHOW™ & TIXSTART®

1. Acceptance of Terms and Digital Signature

By accessing, registering for, or participating in Your Vegas Show™ & TixStart®, the Artist acknowledges that they have read, understood, and agree to be legally bound by this Agreement.

Completion of registration, including authentication and verification processes, constitutes a legally binding electronic signature under applicable law, including the E-SIGN Act and UETA.

If the Artist does not agree, participation is prohibited.

2. Program Overview

TixStart® is a USPTO-registered trademark and patent-pending crowdfunding and ticketing model owned and operated by the Company.

Your Vegas Show™ is a performance-based initiative operating within TixStart®, designed to provide Artists with a pathway from digital engagement to potential live performance opportunities.

3. Independent Contractor Status

The Artist participates strictly as an independent contractor and is solely responsible for all taxes, compliance obligations, and legal requirements.

No employment, partnership, or agency relationship is created.

4. Non-Equity Participation

Participation does not grant any ownership, equity, or financial interest in the Company or its affiliates.

5. Program Structure and Participation Model

The program enables Artists to engage audiences through ticket-based support.

• The Artist may sell up to 365 tickets within one (1) year from the time the Artist’s campaign is activated on rebelboom.com and/or yourvegasshow.rebelboom.com.
• The Company may contribute up to 135 additional tickets.
• Target total: 500 tickets.
• This structure is a guideline only and does not guarantee outcomes.

No Obligation to Sell Tickets
The Artist is not obligated to sell any tickets at any time, and participation does not constitute a quota or employment requirement.

Company Non-Sales Obligation
JCLV Enterprises LLC, Rebel Boom Live, and all affiliated entities are not obligated to sell tickets on behalf of the Artist at any time.

6. No Guarantee of Performance or Outcome

The Company does not guarantee:

• Performance opportunities
• Venue placement
• Financial success
• Audience growth

All outcomes are subject to Company discretion and external factors.

7. Compensation Structure

The Artist shall receive four dollars ($4.00 USD) per verified ticket sold (“Coffee Cash™”), subject to verification.

Payment Schedule
Payments are distributed on a monthly basis, as determined solely by the Company. Payment timing, schedules, and processing periods may be modified at any time without notice. Additional compensation may be provided in accordance with the tiered structure outlined below.

8. Tiered Compensation Packages (Performance, Travel, and Accommodations)

The Artist acknowledges and agrees that compensation, performance opportunities, venue size, and allocated resources may be determined based on total verified ticket sales under the following tiered structure:

General Tier Provisions

• All compensation amounts include allocations for performance fees, travel, and accommodations.
• Flights and accommodations (up to five (5) individuals) are funded from within the total compensation package, not in addition to it.
• The Company reserves the right to determine venue selection, production scale, and final compensation allocation at its sole discretion.

9. Program Activation and Operational Terms

• The Artist is responsible for their own promotion, audience engagement, and participation in live social media performances.
• The Artist may be granted up to one (1) year to participate in the program model, subject to modification.
• The Company will provide production and backline support, subject to operational feasibility.
• The program may include additional bonus incentives, promotional opportunities, or structural adjustments at the Company’s discretion.

10. Payments, Verification, and Chargebacks

• All payments are subject to verification.
• The Company may delay, withhold, or reverse payments due to fraud, disputes, or chargebacks.
• The Artist may be held responsible for invalid transactions.

11. Artist Responsibilities and Conduct

The Artist agrees to act lawfully and professionally at all times.

Prohibited conduct includes fraud, misrepresentation, intellectual property violations, artificial engagement, and unlawful behavior.

12. Fan Participation and Support Model

Fan participation may include ticket purchases and/or donations. All transactions are subject to Company policies.

13. Intellectual Property and Publicity Rights

The Artist grants the Company a worldwide, perpetual, royalty-free license to use their name, likeness, and content.

14. Limitation of Liability

The Company shall not be liable for indirect or consequential damages. Total liability shall not exceed amounts paid to the Artist.

15. Indemnification

The Artist agrees to indemnify and hold harmless the Company and its affiliates.

16. Force Majeure

The Company is not liable for delays due to events beyond its control.

17. Termination

The Company may terminate participation at any time.

18. Governing Law, Disputes, Arbitration, and International Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Nevada, United States of America.

Any dispute, claim, or controversy arising out of or relating to this Agreement shall be resolved exclusively through final and binding arbitration conducted in the State of Nevada in accordance with the rules of the American Arbitration Association (AAA) or a comparable arbitration provider selected by the Company.

The Artist expressly agrees that:

• This Agreement applies regardless of the Artist’s country of residence or location.
• The exclusive jurisdiction and venue shall be the State of Nevada, USA.
• The Artist consents to personal jurisdiction in Nevada.
• Arbitration may be conducted remotely or virtually.
• Any arbitration award may be enforced in any court of competent jurisdiction worldwide.

The Artist further waives:

• Any right to a jury trial.
• Any right to participate in class, collective, or representative actions.
• Any objection to jurisdiction or venue based on location or inconvenience.

19. Approval Process, Authorized Email, and Activation Code

The Artist expressly acknowledges and agrees that:

• Official approval may only be issued from the following authorized email address: rebelboom@rebelboom.com
• No other email address, individual, or communication channel is authorized to approve applications or issue activation codes on behalf of the Company.
• A valid approval requires BOTH: (i) an official approval email from the authorized address listed above, and (ii) a unique campaign activation code issued by the Company.
• Absent receipt of both an official approval email and activation code, the Artist’s Pre-Approval Application shall be deemed declined in its entirety.
• The Company shall have no obligation to provide reasoning, feedback, or explanation for any approval or denial decision.

20. Modifications and Right to Change Terms

The Company reserves the absolute right, at any time and in its sole discretion, to modify, update, amend, or discontinue:

• This Agreement
• Compensation structures
• Payment schedules
• Program rules
• Platform operations

All changes may be made with or without notice. Continued participation constitutes acceptance of all modifications.

21. No Guaranteed Financial Outcome

No income, profit, or success is guaranteed.

22. Entire Agreement and Severability

This Agreement represents the entire agreement between the parties.
